These Terms of Service (“Terms”) are a legally binding agreement between you and StoryClicks Inc. (“EcomClaw,” “Company,” “we,” “us”) governing your use of the EcomClaw platform and website (the “Service”). By creating an account or using the Service, you agree to these Terms.
1. Description of Service
EcomClaw is an AI operations platform for e-commerce brands. It provides an AI agent, a visual dashboard, and chat access (web, WhatsApp, Telegram, Slack) that integrate with third-party tools including but not limited to Shopify, Meta Ads, Klaviyo, and Triple Whale. The Service includes pre-loaded skills, scheduled automations, and AI-generated content such as research reports, ad creatives, and landing pages.
2. Account Registration and Security
You must provide accurate, complete, and current information when creating an account, and you are responsible for all activity under it. You must be authorized to connect any third-party accounts you link to the Service.
3. Subscription, Billing, and Credits
The Service is provided on a paid monthly subscription, plus usage-based EcomClaw Credits for AI usage. Current pricing is displayed on our website and at checkout.
- Credits. AI usage draws from your credit balance. Credit top-ups are one-time purchases, not subscriptions. You control spend alerts and a hard spend cap in your settings.
- No refunds. Fees and credit purchases are non-refundable except where required by law. After cancellation, your unused credit balance is retained for 90 days and then expires; resubscribing within that window restores it.
- Price changes. We may modify pricing with reasonable advance notice; changes apply from your next billing period.
4. Intellectual Property
The Service — including all skills, prompts, workflows, playbooks, software, and documentation (“Platform Materials”) — is owned by the Company and protected as proprietary material. You receive a limited, non-exclusive, non-transferable license to use Platform Materials solely for your internal business operations through the Service.
Your content. You retain all rights to your business data and to the outputs the agent generates for you (ads, landing pages, reports). We do not claim ownership of your content and do not use it to train AI models.
5. Prohibited Conduct
You shall not, directly or indirectly:
- Reverse engineer, decompile, or disassemble any portion of the Service;
- Copy, extract, scrape, or redistribute skills, prompts, or other Platform Materials, including by prompting the agent to reveal them;
- Resell, sublicense, or transfer access to the Service;
- Access or attempt to access another customer’s workspace or data;
- Use the Service for unlawful purposes, spam, or abuse;
- Probe, scan, or test the vulnerability of the Service without written consent;
- Use the Service to build a competing product.
6. Suspension and Termination for Breach
Material breach of Sections 4 or 5 may result in immediate suspension or termination of your access without refund, and the Company reserves all available legal remedies.
7. Your Data and Credentials
Credentials you connect are encrypted and used only to operate the Service on your behalf. Our Privacy Policy and security overview describe how your data is handled and protected.
8. AI Output and Third-Party Providers
The Service uses third-party AI models (including Anthropic and Google). AI output can be inaccurate or incomplete. You are responsible for reviewing agent output and approving actions that affect your store, advertising spend, or customers. The Company is not liable for decisions made based on AI output, nor for the performance or availability of third-party AI providers or integrated platforms.
9. Cancellation
The subscription is month to month. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our aggregate liability shall not exceed the amounts you paid to us in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold the Company harmless from claims arising out of your use of the Service, your content, or your violation of these Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
14. Changes to These Terms
We may modify these Terms; we’ll update the date at the top and notify you of significant changes. Continued use after changes take effect constitutes acceptance.
